Brownstein Hyatt Farber Schreck is pleased to announce that Dalton Sprinkle will join the firm as a shareholder in the firm’s Corporate & Business Department. Sprinkle has extensive experience representing companies and investors in a wide range of transactions, including M&A, venture capital financings, public and private securities offerings, licensing, joint ventures and restructurings. He regularly advises clients engaged in transactions that involve sophisticated tax structuring, regulated industries and cross-border issues. His clients operate in various industries, including solar energy and renewables, software, e-commerce, real estate, biotech, gaming, banking and finance, and cannabis. Sprinkle spent approximately one-third of his career as general counsel and a board member for several early-stage and publicly traded companies, where he led complex M&A, financing and restructuring transactions, and he developed his bedrock skills working at some of the world’s largest law firms, including Skadden Arps Slate Meagher & Flom LLP and Morgan Lewis & Bockius LLP. His extensive experience as both a buyer and seller of corporate legal services and as both an advisor and decisionmaker in the boardroom gives him a unique perspective on the legal needs and challenges faced by entrepreneurs and executives.

Armstrong is a proven dealmaker and problem solver bringing more than two decades of experience building, leading and advising multidisciplinary groups responsible for the execution of critical strategic initiatives for high-growth companies through mergers and acquisitions, capital transactions and strategic partnerships. He has completed more than 100 M&A, securities and loan transactions delivering more than $5 billion in value to founders and investors as lead executive, financial advisor and corporate counsel. Armstrong has significant experience serving technology companies and the family offices, venture capital funds and other private equity firms that invest in them. His tech industry experience includes representing innovators in marketing technology, online and new media advertising, financial technology, electronic payment and block chain systems, and material science and innovation.

Roman advises clients on intellectual property and technology issues, particularly in transactional deals. For more than 25 years, Roman has advised clients on a range of issues, including copyright, trademark, trade secret, patent, privacy and licensing.
